enter into contracts known as CRADAs (Cooperative Research and Development Agreements). While alternative agreements like Strategic Partnership Project Agreements may be used, CRADAs, as stipulated in the federal law, are more common.<\/p>\n CRADAs were introduced to accelerate the commercialization of technologies developed by research institutions funded by the U.S. federal government and owned, leased, or otherwise used by federal agencies (collectively, \u201cFederal Laboratories\u201d). They also aim to combine federal research capabilities with industry expertise. CRADAs provide a formal and legal mechanism for Federal Laboratories to collaborate on research and development activities with private sector business partners (including private companies, universities, and non-profit organizations). Nevertheless, entities in Korea that seek cooperation with Federal Agencies may not be much familiar with CRADAs.<\/p>\n Since CRADAs typically use standardized forms, usually issued by federal agencies along with CRADA templates and orders regarding contract modifications. It is crucial for both parties to the contract to thoroughly understand the nature of the CRADA, as well as any associated orders from the relevant federal agency, especially with respect to essential terms or risk assessment in order to prevent future disputes.<\/p>\n To reduce the potential for disputes, clear agreement should be reached on essential terms such as determining the inventors of joint research and development outcomes, exercising rights to these outcomes, and conditions and procedures for third-party licensing. Additionally, a thorough understanding of the U.S. federal government’s walk-in rights and CRADA’s U.S. Competitiveness clause (or submission of a Net-benefit statement) is necessary to assess potential business risks and propose contract modifications accordingly. Furthermore, in cases where Federal Laboratories provide technology and conduct experiments while private entities provide funding, it’s important to verify that the Federal Laboratories have fulfilled their obligations according to the support ratio.<\/p>\n If you are a Federal Laboratory about to negotiate and enter into a CRADA with a company or agency in Korea, please advise the company to seek specialized legal consultation.
